The following agreement contains the complete terms that shall govern the relationship between BLACKLION and all affiliates. This is a binding legal agreement to which you indicate your acceptance by clicking on the apply button on the affiliate application page. Please read the entire contents of this agreement before completing the application process.

1. BLACKLION.com is a discount retailer of Home Furnishings. Sales of home furnishings are generated through marketing on the Internet.
2. BLACKLION.com sponsors a rewards program for affiliate partners that generate Internet traffic that ultimately spawns a sale for BLACKLION.com.
3. BLACKLION reserves the right to review all applications and may decline any application in its sole discretion.
4. If you are accepted into the BLACKLION affiliate program, you will be supplied a non exclusive limited license to use BLACKLION banners and logos on your website. This license is non-transferable and revocable at our sole discretion. They must be used exclusively with the link code provided by BLACKLION. A link may only be changed with our written consent. Compliance with the terms of this agreement will be monitored through regular audits of affiliate sites. The license only applies to those banners provided by BLACKLION through the program. Any use of images, banners or other trademarks found on BLACKLION’s website is prohibited without first obtaining written permission from BLACKLION as well as the respective owners of the intellectual property. Failure to comply with trademark law could result in material penalties.
5. Websites that generate sales by directing traffic from their sites are paid a 3% commission on the product-selling price. Shipping charges, taxes, fees and other accessorial charges are excluded from commission. Improper or unauthorized use of the html code without BLACKLION’s written permission could result in delay or non-payment of commissions at BLACKLION’s discretion. Product selling price for items that are sold with freight, tax, or other fees included will be extrapolated by deducting our actual expenses from the selling price.
6. Commissions are calculated on a monthly basis and are paid on the 15th of the month for everything earned in the previous month. Checks are only cut when commissions owed equal or exceed $75. If commissions are less than $75, BLACKLION will hold the funds until earnings equal or exceed the minimum amount for a check to be cut. Fraud, bad debt, order cancellations and restocking charges are excluded from commission. To generate a commission, the customer must follow the link provided from your site to ours and make a purchase either online or over the phone. If the order is placed over the phone, our sales staff will ask the customer to read the affiliate code from the bottom of the page. The link code provided by BLACKLION generates a unique affiliate number on the bottom of each page. This is how sales are linked to affiliates. To qualify for commission, a sale must be consummated by an acceptable delivery and full payment by the customer.
7. The term of this agreement begins upon BLACKLION’s acceptance of affiliate’s application and ends immediately upon notice of termination by either party. Notice may be given by email, phone, fax, mail or express mail. A breach of this agreement could constitute an immediate termination of agreement. Material breaches or fraud will negate any commissions due.
8. This agreement may be modified by BLACKLION at any time and in BLACKLION’s sole discretion. Notice of modification will be provided to the email address or other contact information supplied in the affiliate application.
9. BLACKLION and affiliates are separate entities and nothing in this agreement constitutes a partnership, joint venture, franchise or other employment relationship between the respective parties.
10. BLACKLION makes no warranties about the affiliate program; it’s effectiveness or expected revenues. BLACKLION does not guarantee that it’s website will be error free and will provide uninterrupted service.
11. Affiliates agree to indemnify, defend and hold harmless BLACKLION, its officers and employees against any and all claims, damages or expenses incurred through the use of BLACKLION trademarks or third party trademarks or against any claims of infringement by third parties.

This is a legal agreement between you and BLACKLION to which you signify your acceptance by clicking on the “apply” button on the affiliate registration page. This is a binding agreement and you should read it carefully before accepting its terms. The laws of the state of North Carolina shall govern this agreement.
